Two Kinds of Business Documents

Records the state holds, like Articles of Incorporation, Articles of Organization, amendments, a Statement of Information or a Certificate of Status (California’s “good standing” certificate). These need to be certified copies issued by the California Secretary of State, which then apostilles them. Plain copies from bizfile Online will not do.

Documents your company creates, like board resolutions, secretary’s certificates, powers of attorney, invoices and contracts. These are signed by an officer in front of a notary and then apostilled. If several officers sign, each signature is notarized.

Federal Business Documents

Some documents come from federal agencies: an IRS Form 6166 certification of U.S. residency, FDA or USDA export certificates, or USPTO trademark and patent documents. These go to the U.S. Department of State for a federal apostille, which we also prepare and submit ($120 per document).

Volume and Timing

Foreign banks and registries often want a full set at once: articles, a recent certificate of status, a resolution authorizing the signer and the signer’s power of attorney. Plan on the certificate of status being recent, since many countries will not accept one older than 30 to 90 days.

Common Questions

Frequently Asked Questions

Can you order the certified copies from the Secretary of State?

Tell us what you need when you book and we will help you request the right certified copies so they arrive ready for the apostille.

Our company is registered in Delaware. Can you help?

Delaware documents must be apostilled by Delaware. California only apostilles California records and California notarizations. A document an officer signs here in front of a California notary, though, can be apostilled in California.

Do you offer invoicing for repeat business clients?

Call us at (805) 866-4199 to talk about recurring work.
